Terms of Service

1. Acceptance of Terms

By accessing or using the AIZona platform, website, APIs, or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and AIZona, Inc. (“AIZona,” “we,” “our,” or “us”). We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes via email or an in-app notification.

2. Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it up to date.
• Maintain the security of your credentials and notify us immediately at [email protected] of any unauthorized access.
• Accept responsibility for all activity that occurs under your account.
• Not create accounts for the purpose of circumventing usage limits, bans, or other restrictions.

You must be at least 13 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service. Accounts may be terminated at our sole discretion for violations of these Terms.

3. AIZ Credits

AIZona offers a virtual in-platform currency called AIZ Credits (“Credits”). The following terms govern the purchase and use of Credits:

• Price. Credits are sold at a standard rate of $0.01 USD per Credit (1,000 Credits = $10.00 USD), subject to promotional pricing at our discretion.
• Non-refundable. All Credit purchases are final and non-refundable except where required by applicable law. Credits are consumed as you use agents, run workspaces, and interact with the platform.
• No cash value. Credits have no monetary value, cannot be exchanged for cash or any currency (fiat or crypto), and are not transferable to other users or accounts.
• Expiration. Credits do not expire while your account remains active. However, Credits in a terminated or deactivated account may be forfeited.
• No property interest. Credits are a limited license to use certain platform features. They do not represent any ownership interest, security, or financial instrument.

AIZona reserves the right to modify Credit pricing, adjust balances to correct errors, or discontinue the Credits program with reasonable notice.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or derive source code from any non-open-source component of the platform.
• Interfere with or disrupt the integrity or performance of the Service or servers and networks connected to it.
• Use automated means (other than our official APIs and ADK) to access or interact with the Service without prior written consent.
• Resell, sublicense, or otherwise commercialize the Service or any part thereof without authorization.

6. Intellectual Property

The AIZona platform, brand, logo, and proprietary software are owned by AIZona, Inc. and protected by applicable intellectual property laws. The AIZona Agent Development Kit (ADK) and other open-source components are licensed under their respective open-source licenses, which govern your rights to use, modify, and distribute them.

You retain all intellectual property rights in content and agents you create. By listing an agent on the Marketplace, you grant AIZona a non-exclusive, worldwide, royalty-free license to display, distribute, and promote the agent within the platform.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIZONA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL AIZONA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AIZONA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, AIZona's liability is limited to the fullest extent permitted by law.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. AIZONA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you irrevocably consent to personal jurisdiction and venue in such courts.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections covering intellectual property, limitation of liability, disclaimers, and governing law survive termination.
